Terms and Conditions for Recommenders
1. Purpose
These Terms and Conditions govern the collaboration between Conscious Management Institute S.A. ("CMI") and individuals who, without carrying on an organised business or professional activity, recommend to CMI candidates who enrol through CMI's Enrolment Portal ("the Recommender"). They are accepted electronically in the Enrolment Portal and have the same validity as a signed agreement. Companies and professionals who invoice their activity are governed by the General Terms and Conditions for Partner Agencies.
2. Becoming a Recommender
The Recommender registers in the Enrolment Portal with their full name, ID card, foreign resident ID or passport number, address and contact details, and accepts these Terms. To receive commissions, they must also provide a bank account in their own name. CMI reviews the application and, once approved, the Recommender receives their own Enrolment Portal link and access to their area. CMI may refuse an application without giving reasons.
3. Attribution of students
3.1. A student is considered referred by the Recommender when they create their account in the Enrolment Portal through the Recommender's own link, or when the Recommender pre-registers them from their area, before CMI or another partner was managing them.
3.2. The student must always register with their own email address and personally sign their enrolment agreement. The Recommender may help the student, but may not register them with their own email address or sign on their behalf.
3.3. A student who was already being managed by CMI or by another partner is not attributed to the Recommender. In the event of a dispute, CMI will decide on the basis of its CRM records, communications and available documentation.
4. Recommender special price
4.1. Students attributed to the Recommender get the Recommender special price set out in Annex I, which already includes the programme's scholarship and discounts (scholarship, 10% recommendation discount and, for on-campus programmes, an additional 5%). The Enrolment Portal shows them this price automatically when they register through the Recommender's link or when the Recommender pre-registers them.
4.2. Most students pay the enrolment fee and the rest in monthly instalments. If the student pays the whole programme at once, an additional 10% single-payment discount on tuition applies, already calculated in the "Single payment" column of Annex I.
4.3. The Recommender special price cannot be combined with other CMI scholarships, discounts or promotions. The Master in Leadership, Ethics and Change Management is offered at its list price, without discounts. Programmes not listed in Annex I have CMI's general prices and discounts. Insurance and other services are excluded.
4.4. CMI may update Annex I for future intakes, informing the Recommender in their area; students already enrolled keep their price.
5. On-campus programmes: no commission
For on-campus and blended programmes the Recommender receives no commission or any other remuneration from CMI: the benefit of the recommendation is the Recommender special price for their students. This is because the Recommender usually supports students who come to study in Spain and charges them for their own services (paperwork, immigration procedures, accommodation and similar), which are unrelated to CMI.
6. Online programmes: 8% commission
6.1. For each attributed student who enrols in an online programme, the Recommender receives a commission of EIGHT PER CENT (8%) of the amount the student pays for their programme (Recommender special price or single-payment price, as applicable), as shown in Annex I. There are no volume tiers. Online programmes do carry a commission because, for those who work with students coming to Spain, they are occasional sales of much lower volume and, therefore, a receipt can be issued with a 15% personal income tax (IRPF) withholding without being registered as a company or self-employed.
6.2. The commission is earned when the student is enrolled, actively following the programme and up to date with payments: they have paid the enrolment fee and either the full programme or, if paying in instalments, their first two monthly instalments, due on the 5th of each month. If, two (2) months after the start of their programme, the student has cancelled, dropped out or is not up to date, no commission is earned unless CMI agrees otherwise in writing. Amounts refunded to the student reduce the commission accordingly.
6.3. Introduction bonus: if the Recommender introduces to CMI a new partner agency or a new Recommender who registers in the Enrolment Portal through their introduction link or by entering their code, the Recommender will receive a one-off bonus of THREE HUNDRED EUROS (€300) once the agency or Recommender introduced reaches their first three (3) effective enrolments (students enrolled, actively following the programme and up to date with payments, with the commission earned). The bonus is included automatically in the next settlement, with the corresponding withholding. Anyone who was already collaborating or in contact with CMI is not considered introduced.
7. Settlement, withholding and payment
7.1. CMI automatically settles earned commissions three times a year: on 10 November, 10 March and 10 July. Commissions not yet earned are carried over to the next settlement.
7.2. Given the occasional nature of the collaboration, the Recommender authorises CMI to issue the settlement document on their behalf (self-billing, article 5 of Spanish Royal Decree 1619/2012), which is made available in their area. The settlement is issued without VAT, as the service is provided by an individual who is not a business or professional. CMI will withhold FIFTEEN PER CENT (15%) on account of Spanish personal income tax (IRPF), pay it to the Spanish Tax Agency and provide the Recommender with the annual withholding certificate. The Recommender remains responsible for their own tax obligations.
7.3. CMI will pay each settlement by bank transfer before the 20th of the month in which it is issued, to the account provided by the Recommender, which must be in their name. Settlements are only issued when their identity, address and bank details are complete.
7.4. If the collaboration stops being occasional, or the Recommender starts carrying on the activity as a business or professional, they must inform CMI in order to move to the General Terms and Conditions for Partner Agencies.
8. Obligations of the Recommender
The Recommender undertakes to: (1) inform candidates in line with CMI's official information; (2) not promise or alter financial, academic, admission, qualification, visa or any other conditions not authorised by CMI, nor guarantee admission; (3) not collect any amount from the student on CMI's behalf: the student always pays CMI directly through the Enrolment Portal; (4) any services the Recommender provides to the student on their own account (advice, visa or immigration procedures or others) are unrelated to CMI, which is not responsible for them, and may not be presented as CMI services; (5) use candidates' personal data only for authorised purposes and with their consent; (6) comply with CMI's Code of Ethics and brand guidelines; and (7) keep their details up to date in their area.
9. Obligations of CMI
CMI undertakes to: (1) provide up-to-date information on its programmes; (2) manage the admission and enrolment process and make the final decision on admission; (3) collect the fees through its own payment methods; (4) show the Recommender, in their area, the status of the students attributed to them, within the limits of data protection law; and (5) apply the Recommender special price and settle the commissions in accordance with these Terms.
10. Personal data
Each party is the data controller for the personal data it collects in its own activities. The Recommender's details are processed by CMI to manage this relationship, settle commissions, apply withholdings and comply with its legal obligations.
11. Term and termination
These Terms apply from their acceptance for an indefinite period. Either party may terminate the collaboration by written notice. CMI may terminate it immediately if the Recommender breaches these Terms. Commissions for students already enrolled in online programmes will still be paid if they meet the requirements of clause 6. CMI may update these Terms; the Recommender will be informed in their area and must accept the new version in order to keep their link active.
12. Good faith and non-disparagement
The parties will act in good faith and refrain from making deliberately false or defamatory statements, or statements intended to unlawfully damage the reputation of the other party, during and after the collaboration.
13. Governing law and jurisdiction
These Terms are governed by Spanish law. Any dispute will be submitted to the courts of Madrid, unless mandatory rules provide otherwise. In the event of any discrepancy between language versions, the Spanish version shall prevail.
